Brickworks Limited (BKW) Merger with Washington H. Sol Pattison and Co Limited (SOL)

Diversified investment house, Washington H. Soul Pattinson and Company Limited (SOL), and diversified industrial group, Brickworks Limited (BKW) have announced the execution of a binding Combination Deed (Combination Deed), for the implementation of a merger between Soul Pattison and Brickworks to create a newly capitalised ASX listed company (Proposed Merger).

On 22 September 2025, eligible SOL Shareholders received 1 Topco Share for each SOL Share held as at 7:00pm (Sydney time) on 17 September 2025 (being the record date) and eligible BKW Shareholders received 0.82 Topco Shares for each BKW Share held as at the record date.

 

Please see instructions to account for the merger in your Portfolio Manager:

  • Navigate to the Portfolio Manager
  • Select your portfolio that holds BKW
  • Under Securities Held. Click on BKW.
  • Scroll down the page to the “Trades and Adjustments” section.
  • Click on the button called “Other transactions”

From the drop-down menu, click on “New Reconstruction”

In the new window:

  • Enter the Date: 15/9/2025
  • Number of shares participating is your current holding of BKW
  • In the box titled New Holdings for which rollover relief applies:
    • Code: SOL
    • Quantity: Your BKW shareholding multiplied by 0. 0.82     IE: 10,000 BKW Shares multiplied by 0. 0.82  = 8,200 SOL Shares
    • Cost base rolled over (%):100

Then click on the ‘Trade Allocation” tab and check your “Allocation of Trades” method, as seen below:

Click “SAVE” and you have now accounted for the merger for BKW and SOL.

To return to your securities held screen, please scroll to the top of the page and on the left-hand side, just above to Stock’s name, click on the button called “Back to Securities”.
