Ramelius Resources Limited (RMS) Compulsory Acquisition of Spartan Resources Limited (SPR) – July 2025

Ramelius Resources Limited (RMS) has successfully acquired Spartan Resources Limited (SPR) via a scheme of arrangement. The transaction became effective on 22 July 2025, and Spartan shares were suspended from trading on 23 July 2025. The Scheme Record Date was 5:00pm AWST on 24 July 2025.

Under the scheme: Each SPR shareholder receives 0.6957 RMS shares per 1 SPR share Plus $0.25 in cash per SPR share.

These instructions guide you through recording this event in your Stock Doctor portfolio:

Navigate to the Portfolio Manager

  • Select your portfolio that holds SPR.
  • Under Securities Held. Click on SPR.
  • Scroll down the page to the “Trades and Adjustments” section.
  • Click on the button called “Other Transactions”
  • From the drop-down menu, click on “New Reconstruction”.

 

  • Date: 24/07/2025
  • Number of shares participating  (IE: Your total SPR shareholding)
  • In the box titled 'New Holdings for which rollover relief applies, enter in:
    • Code: RMS
    • Quantity: Your SPR shareholding x 0.6957    ie. 5,000 SPR Shares multiplied by 0.6957 = 3,479 RMS Shares

Apply rounding:

Round up if ≥ 0.5 and Round down if < 0.5

  • Cost base rolled over (%): 100.

Next, click on the “Income & Capital Return” tab and enter in your Income of $0.25 per share, (ie. 5,000 shares X $0.25 = $1,250.00 ), into the “Other Taxable Income ($) column, as seen below:

Then click on the ‘Trade Allocation’ tab and review and confirm the "Allocation of Trades" method below:

Click “save” and you have now accounted for the Scheme of arrangement for SPR.
