The acquisition of DDH1 Limited (DDH) by Perenti Limited (PRN), scheme has been implemented and DDH1 Limited has been suspended from trading from 28 September 2023. The scheme record date is 29 September 2023.
For shareholders who elected to receive the “Standard Consideration” will receive 1 Perenti Limited share for every 0.6924 and a cash amount of $0.1238. Please see instructions below to account for the cash amount and acquisition in your Portfolio Manager for the “Standard Consideration”:
- Navigate to the Portfolio Manager
- Select your portfolio that holds DDH
- Under Securities Held. Click on DDH.
- Scroll down the page to the “Trades and Adjustments” section.
- Click on the button called “Other transactions”
- From the drop-down menu, click on “New Reconstruction”
In the new window,
- Enter the Date: 6/10/2023
- Number of shares participating is your current holding of DDH
- In the box titled New Holdings for which rollover relief applies:
- Code: PRN
- Quantity: Your DDH shareholding multiplied by 0.6924 IE: 10,000 DDH Shares multiplied by 0.6924 = 6924 PRN Shares
- Cost base rolled over (%):100.

Then click on the “Income & Capital Return” tab and enter in your Income of $0.1238 per share, (IE 10,000 shares X $0.1238 = $1,238.00), into the “Other Taxable Income ($) column, as seen below:
Then click on the ‘Trade Allocation” tab and check your “Allocation of Trades” method, as seen below:
Click “save” and you have now accounted for the Scheme of arrangement for DDH.
